How It Works

One journey. Five altitudes.
Zero fog.

Every engagement follows the same clear flight plan — adapted to your company's shape, sector and speed. Here's the whole path, in plain language.

Discover

The honest conversation

We start with your books, your ambitions and a candid diagnostic. Are you eligible today? For which platform? What would it take, and cost, and how long? If the truthful answer is "not yet," we'll say so — and hand you the roadmap to get there.

Prepare

Getting the house in order

Conversion to public limited if needed, board and committee build-out, restated financials, group structure clean-ups and the appointment of your merchant banker, RTA, legal counsel, market maker and underwriter — each chosen with you, negotiated for you.

File

Telling your story under oath

Due diligence, the data room and the draft offer document. We coordinate every party, keep drafting on schedule and manage exchange and regulator observations until approvals land. You review; we chase.

Fly

Pricing, roadshows and the bell

The price band is set with benchmarking and appetite soundings, management is rehearsed for the road, the issue opens, subscriptions are tracked in a live war room — and then the bell rings with your name on the board.

Soar

Life as a listed company

Results calendars, disclosures, investor relations and governance rhythms. We stay engaged through your first reporting seasons, and when the time comes, we plan your migration from the SME platform to the mainboard.

What You Can Expect

The promises we put in writing

  • A named engagement lead who knows your file end to end
  • A living milestone tracker you can open any day, any hour
  • Weekly reviews in plain language — no acronym walls
  • Full fee transparency before every phase begins
  • Your data handled under strict confidentiality protocols

What we'll ask of you

Great listings are partnerships. We'll need timely access to records, decisions made when the calendar demands them and management time for diligence and rehearsals. We'll always tell you what's needed well in advance — no surprises, ever.

Promoter Questions

The things founders actually ask us

How long does an SME IPO usually take?

For a well-prepared company, the journey from kick-off to listing typically runs several months to about a year, depending on how much groundwork — restated financials, structure changes, governance build-out — is needed before filing. Your diagnostic will give you a timeline specific to your situation.

What will the whole exercise cost?

IPO costs vary with issue size and the intermediaries involved — merchant banker fees, market making, underwriting, registrar, legal, printing and marketing all contribute. We build a full cost sheet during Discover so you see the complete picture before committing a rupee.

Will I lose control of my company?

Listing means sharing ownership, not surrendering the steering wheel. Promoters typically retain a controlling stake, and we plan the issue structure with your long-term shareholding, lock-in requirements and future dilution in mind.

SME platform or mainboard — how do we choose?

It comes down to your financial track record, issue size, investor base ambitions and appetite for compliance load. Many companies list on NSE Emerge or BSE SME first and migrate to the mainboard once they meet the criteria. We model both routes on your numbers.

What happens if the market turns rough mid-journey?

Approvals come with validity windows, which gives genuine flexibility on launch timing. If conditions sour, we help you read the market, adjust pricing strategy or hold for a better window — the decision stays yours, informed by honest counsel.

Are you a merchant banker?

No — and that's deliberate. We are your issuer-side advisor, sitting on your side of the table. The merchant banker, underwriter and other intermediaries are appointed separately, and our independence is exactly what lets us negotiate with them purely in your interest.
